Reed Learning Limited and Reed Business School Limited Student Referral Scheme Terms and Conditions
1. Definitions:
1.1 Cooling Off Period: fourteen (14) days from date of purchase of the Course.
1.2 Course: the course which the Referred Student enrols in as a result of a Referral through the Student Referral Scheme.
1.3 Data Protection Laws: all applicable privacy and data protection laws and regulations as they may be amended or replaced from time to time.
1.4 Referrer: is the referring Student.
1.5 Referred Student: is someone who has been referred to Reed by the Referrer as a prospective student who subsequently as a result of such referral by the Referrer enrols in a Course.

1.8 RBS: Reed Business School Limited.
1.9 Reed: Reed Learning Limited and Reed Business School Limited.
1.10 RL: Reed Learning Limited.
1.11 Start Date: The first day commencing immediately after the last day of the Cooling Off Period.
2. The Student Referral Scheme:
2.1 This is a scheme that offers financial rewards to Referrers who refer any Referred Student to Reed.
2.2 The terms and conditions relating to this Student Referral Scheme are set out herein.
2.2 The Referrer shall not offer any warranties or discounts or rewards to the Referred Student.
2.3 The Referrer has no authority to enter into any contract, on Reed’s behalf with Referred Students.
3. Eligibility Criteria
3.1 The Referrer must be a current student or alumni.
3.2 The Referred Student must be new and must not have been previously enrolled or in contact with Reed Admissions.
3.3 Reed Group Co-members are not eligible to participate as a Referrer or as a Referred Student.
4. The Referral Submission
4.1 The Referrer will complete a short online referral form with their details and the Referred Student’s contact information. Link to form.
5. The Verification Process:
5.1 The Reed Admissions teams shall verify the submitted online referral form once the Referred Student applies and completes enrolment in a Course.
5.2 Duplicate or invalid referrals will be flagged and excluded.
6. Conditions for a valid referral:
6.1 The Referred Student must consequent to the referral by the Referrer enrol in a Course with Reed in order for such referral to be considered valid for the purposes of the Student Referral Scheme.
7. Student Referral Scheme Rewards
7.1 The Referrer shall receive a monetary reward which will be based on the Course value once the Referred Student is officially enrolled and the Cooling Off Period is over.
7.2 The Referred Students will also receive a financial reward of up to £200. This reward cannot be used in conjunction with another offer or discount.

8. Early termination of the Course
8.1 The Referral will no longer be counted towards the Referrer or Referred Student’s Reward if the Referred Student terminates the Course for which they enrolled in terms of the Student Referral Scheme within two (2) months of the Start Date of a Course.
9. Confidentiality:
9.1 The Referrer and the Referred Student shall take the necessary measures to ensure that the other party’s confidential information is protected during the referral process.
10. Liability and Indemnification:
The Referrer and the Referred Student hereby indemnifies Reed in full against all liabilities, costs, expenses, damages and losses, including but not limited to any:
a) direct losses
b) loss of reputation and goodwill
c) penalties and legal costs
d) other reasonable costs and expenses incurred by the indemnified party arising out of or in connection with the breach of the data protection laws, anti-bribery legislation, Intellectual Property Rights or relevant industry regulations by the indemnifying party
arising from arising out of or in connection with these terms and conditions or its subject matter or formation (including non-contractual disputes or claims).
11. Anti-Bribery Compliance: The Referrer and the Referred Student shall comply with all applicable laws, statutes, and regulations relating to anti-bribery and anti-corruption.
12. Dispute resolution The Referrer, the Referred Student and Reed agree that if any claim, controversy or dispute arising from these terms and conditions, they will address the matter, negotiate in good faith, and attempt to settle the dispute during a face-to-face meeting. If that good faith negotiation does not resolve the dispute, then, Reed, the Referrer and the Referred Student agree to submit any claim, controversy or dispute arising out of or relating to these terms and conditions to non-binding mediation prior to bringing such claim, controversy or dispute in a court or before any other tribunal.
13. Data protection
13.1 Reed, the Referrer and Referred Student shall comply with its obligations under the Data Protection Laws, and to the extent required, provide such information, advice and assistance to Reed, the Referred Student and the Referrer, to enable them to comply with their obligations under the Data Protection Laws.
13.2 Reed, the Referrer and Referred Student shall take the necessary measures to ensure that sensitive data is protected during the referral process.
14. Governing Law and Jurisdiction:
14.1 These terms and conditions, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the law of England.
14.2 Each party irrevocably agrees that the Courts of England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms and conditions or its subject matter or formation (including non-contractual disputes or claims).
